I have an NT 40 server which currently handles all of our Apple services I
want to upgrade to win 2k are there any or many considerations prior to
upgrading to win 2k.

We are running OS 10.3.4 on all the Apple gear with a few OS 9X

Will I lose any of my Apple connectivity file shares printing services
etc.during the upgrade process

Your thoughts
Ideally for a server you'd completely reinstall the system rather than
upgrading but your settings should be migrated by the installer with
minimal problems.

If you decide to take your W2K server to sp4, be sure you also apply the
Mac hotfix released shortly after to fix problems with Mac printing.

With W2K Server you'll also be able to take advantage of TCP/IP
connections with Macs, so you'll be giving yourself a good network speed
boost.

With a mixture of Mac OS 9 and Mac OS X, you should have your Mac OS X
machines connect via "afp://..." and not "smb://..." to maintain file
compatibility.
